Contract Terms of Business
At Vertex IT Solutions we are confident that the
Consultant provided will meet your expectations. Therefore Should you
as our Client be unhappy with the services provided by the consultant
within the first 5 days of the contract commencing, the contract may be
terminated within the 5 day period and no fees shall be payable by the
client.
The following Terms of Business represents an overview of the Standard
Contract issued by Vertex IT Solutions Ltd (hereafter known as Vertex)
to its Clients. A full copy of the Contract is available on request. Acceptance
of any details of an applicant or candidate by the client will be deemed
as acceptance of these terms.
These terms are our standard terms but may be varied by mutual agreement
between Vertex and the client. A Contract will be drawn up between Vertex
and the Client for Vertex to supply an independent Consultant to provide
expert assistance to the Client.
The duration will be for an initial pre-agreed term (ie. 3mths,12 mths
etc.) but may be extended by mutual agreement between Vertex and the Client.
The standard Contract carries a 30 day notice period on either side to
terminate earlier than the pre-agreed end date.
The Consultant shall be an independent Contractor and as such will not
be entitled to any benefits that the client offers its employees.The Consultant,
only with the Clients permission shall have access and use of the premises,
computers, software and clerical equipment etc. to perform the services.
Both Vertex and the Client shall hold adequate professional indemnity,
public and employers liability insurance (Min. £1m). Furthermore
they shall be obliged to provide a safe working environment for the Consultant.
The fees payable by the Client to Vertex shall be based on either an Hourly
or Day rate, and will be stated in the Schedule of the Contract.
The Client will sign Worksheets to confirm that they were satisfied with
both the quality of work and that the hours worked were correct.
Vertex IT Solutions shall pay the Contractor according to the Worksheets
and will invoice the client on a monthly basis, attaching the signed Worksheets.
Fees will be payable by the Client fourteen days after invoice date.
Fees for the supply of Contract staff are charged as a Margin on the
Contractors fees:
The margin percentage will be negotiated between the consultant and the
client. The standard margin is 20%, however this percentage may vary subject
to volume, regularity of business and or preferred supplier status
Both Vertex and the Client agree to keep confidential any information
concerning the other party and also to comply with the Data Protection
Act (1998).
All Intellectual and other Property Rights for work developed by the Consultant
and on behalf of the Client, shall at all times vest in the Client.
The Consultant shall not be retained or employed by the Client (unless
through Vertex) for a period of twelve months after the expiry of the
agreement.
Should the Client breach the terms of Clause 14 above, the Client shall
be liable to pay fees to Vertex of 30% the fees that would have been payable
if the period of the agreement were 12 months. Or if employed permanently
a fee equal to 30% of the annual gross salary.
Neither the Client or Vertex shall have the authority to bind the other
party to any agreement or assign this agreement without the written permission
of the other party.
The Contract shall be governed by the Laws of England.
